Choto Agent Terms of Participation

These Terms of Participation (“Terms”) govern your involvement as an Agent in the Choto Services Program, operated by Galactic Renewables PBC, trading as Choto Energy (“Choto”, “we”, “our”, or “us”). By registering as an Agent and using the Choto App, you agree to these Terms.

1. Overview
Choto enables independent Agents to provide last-mile services in their communities through the Choto platform. As an Agent, you may offer one or more of the following services:

Moto – facilitating powerbank swaps through the Choto App.
Freeze Hub – renting out fridge/freezer space.
Amanzi – selling solar-pumped water using a Choto meter.
Starfi – providing internet access via Choto’s captive portal using Starlink connectivity.

Agents are not employees of Choto. They operate as private contractors who earn a revenue share for services facilitated through the Choto platform.

2. Eligibility
To become an Agent, you must:
Be 18 years or older.
Complete the onboarding process, including digital identity verification.
Own or have access to the required equipment or infrastructure (e.g., solar system, freezer, Starlink device, water pump).
Agree to the revenue share structure outlined in the App.

3. Revenue Share Model
Revenue share percentages are determined by Choto.
Percentages may vary depending on the service offered (Moto, Freeze Hub, Amanzi, Starfi) and are subject to change based on market conditions.
Agents may also earn commissions for providing solar power to Choto services if they own solar systems integrated with the platform.

4. Payment Terms
Earnings are calculated and displayed in the Agent dashboard within the App.
Payouts are made monthly (or as otherwise specified in the App).
Minimum withdrawal threshold: USD $10 (or local currency equivalent).
Payments are processed via mobile money, bank transfer, or other supported methods.
Agents are solely responsible for any taxes, levies, or statutory obligations applicable to their earnings.

5. Ownership and Equipment
Agents remain the owners of their equipment (e.g., solar systems, freezers, Starlink routers, water pumps).
When provided equipment on a rental or rent to buy basis by Choto the Agent is liable for any damage or loss to the property
Choto may assign digital IDs to registered equipment for tracking in the App.
Choto may require that equipment meets minimum performance or safety standards.

6. Agent Responsibilities
As an Agent, you agree to:
Provide services honestly, reliably, and in accordance with Choto guidelines.
Maintain your equipment in good working condition.
Ensure customers are treated fairly and respectfully.
Comply with local laws and regulations regarding energy, water, and internet services.
Not misuse the Choto platform, manipulate data, or engage in fraudulent activity.

7. Risk and Market Disclaimer
Earnings are not guaranteed. Revenue depends on demand, customer usage, service uptime, and market conditions.
Choto may adjust pricing, commission percentages, or service models at its discretion.
Agents bear the costs of operating and maintaining their own equipment.

8. Warranties and Disclaimers
The Choto platform and Agent program are provided on an “AS IS” and “AS AVAILABLE” basis. Choto does not guarantee revenue, uptime, or customer demand. Participation is at your own risk.
Choto disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability
Under no circumstances will Choto, its officers, directors, or affiliates be liable for:
Indirect, incidental, or consequential damages (including lost profits or business).
Equipment failure, service interruptions, or market downturns.
Claims arising from your operation as an independent Agent.
Your sole remedy is termination of participation in the program.

10. Termination
Choto may suspend or terminate your Agent account immediately in cases of:
Fraud, abuse, or misuse of the platform.
Non-compliance with these Terms or local regulations.
Failure to meet performance standards.
You may also choose to terminate participation at any time by notifying Choto through the App.

11. Confidentiality
Any non-public information received from Choto (including platform tools, pricing models, or customer data) must remain confidential unless disclosure is required by law.

12. Governing Law
These Terms shall be governed by the laws of Zimbabwe. Any disputes will be resolved by arbitration or mediation, unless otherwise required by law.

13. Severability
If any clause of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.
